Allgemeine Geschäftsbedingungen der Futur/io Institute UG (haftungsbeschränkt) (im Folgenden
„futur/io“ genannt)
1. Geltungsbereich
1.1 Diese Allgemeinen Geschäftsbedingungen (nachfolgend auch „AGB“) gelten für alle Verträge, die
Sie als Teilnehmer – unabhängig davon, ob als Verbraucher oder Unternehmer (siehe dazu 1.3) –

(im Folgenden „Teilnehmer“ genannt) mit futur/io als Anbieter von Fort- und Weiterbildungs-
Dienstleistungen über die Internetseite www.futur.io (nachfolgend „Internetseite“ genannt)

oder über sonstige Fernkommunikationsmittel abschließen.
Die Kontaktdaten des Anbieters lauten wie folgt:

1.2 Verschiedene Formulierungen in diesen AGB erfolgen in männlicher Form und beziehen sich
gleichermaßen auf Personen anderer Geschlechter. Dies geschieht ausschließlich zur Förderung
der Lesbarkeit. futur/io verfolgt eine strikte Politik der Nicht-Diskriminierung.
1.3 Als Teilnehmer kommen sowohl Verbraucher als auch Unternehmer in Betracht. Verbraucher im
Sinne dieser AGB ist jede natürliche Person, die ein Rechtsgeschäft zu Zwecken abschließt, die
überwiegend weder ihrer gewerblichen noch ihrer selbständigen beruflichen Tätigkeit
zugerechnet werden können. Nur Rechtsgeschäfte für selbständige berufliche Zwecke sind vom
Verbraucherschutz ausgeschlossen. Angestellte oder Beamte, die zu Zwecken der beruflichen
Weiterbildung einen Vertrag abschließen, sind dennoch Verbraucher. Unternehmer im Sinne
dieser AGB ist jede Person, die kein Verbraucher ist. Unternehmer ist insbesondere eine
natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei Abschluss
eines Rechtsgeschäfts in Ausübung ihrer selbständigen beruflichen oder gewerblichen Tätigkeit
handelt.

1.4 Für Teilnehmer, die Verbraucher sind, kommen spezifische Schutzvorschriften zur Anwendung,
die nicht für Unternehmer gelten. Dies betrifft insbesondere ein Widerrufsrecht, über das
gesondert belehrt wird. Sollte ein Teilnehmer Schwierigkeiten haben, die Abgrenzung zwischen
Verbraucher und Unternehmer für sich vorzunehmen, so sollte er sich im Zweifel als Verbraucher
einstufen. futur/io behält sich vor, einer derartigen Einstufung zu widersprechen bzw. den
Vertragsschluss abzulehnen.
1.5 Zusätzlich gelten für die einzelnen Verträge besondere Geschäftsbedingungen (im Folgenden
„Besondere Geschäftsbedingungen“ genannt) bzw. spezifische Vertragsbestimmungen, die
jeweils Ergänzungen, teilweise auch Abweichungen zu diesen Allgemeinen Geschäftsbedingungen
enthalten. Insbesondere die über die Internetseite verfügbaren Kurs-Beschreibungen beinhalten
spezifische Vertragsbestimmungen, wie beispielsweise die konkreten Leistungsinhalte des
jeweiligen Kurses, den Preis, etwaige Preis-Abschläge etc. Die Kurs-Beschreibungen können auch
Besondere Geschäftsbedingungen beinhalten. Soweit die Besonderen Geschäftsbedingungen
bzw. die spezifischen Vertragsbestimmungen etwas Abweichendes regeln, gehen diese als
speziellere Regelungen den Allgemeinen Geschäftsbedingungen vor; spezifische
Vertragsbestimmungen gehen Besonderen Geschäftsbedingungen vor.
1.6 futur/io widerspricht ausdrücklich der Einbeziehung gegebenenfalls vom Teilnehmer verwendeter
eigener allgemeiner Geschäftsbestimmungen.
2. Gegenstand und Zustandekommen des Vertrages
2.1 Gegenstand des Vertrages ist die Erbringung von Fort- und Weiterbildungs-Dienstleistungen
und/oder die Lieferung von digitalen Inhalten durch das Angebot eines Studienganges, eines
Seminars, eines Vortrages oder einer sonstigen Veranstaltung (im Folgenden zusammenfassend
„Kurs“ genannt). Kurse werden sowohl off-line wie auch on-line angeboten, sei es in Form von

Live-Offline-Kursen, von Live-Online-Kursen oder von aufgezeichneten Online-Kursen. Alle Online-
Angebote von futur/io erfolgen durch die Bereitstellung digitaler Inhalte per Streaming (siehe

Definition in 4.3).
2.2 Mit dem Einstellen der jeweiligen Kurs-Beschreibung auf der Internetseite unterbreitet futur/io
dem Teilnehmer noch kein verbindliches Angebot zum Abschluss eines Vertrages; diese Angebote
sind vielmehr freibleibend und stellen eine Aufforderung zur Abgabe eines Angebotes dar. Die
wesentlichen Leistungsinhalte finden sich in diesen Kurs-Beschreibungen, insbesondere die
vermittelten Inhalte, der Preis, etwaige Preis-Abschläge etc.

2.3 Der Vertrag kommt über die Internetseite wie folgt zustande: Die Internetseite enthält
verschiedene (unverbindliche) Kurs-Angebote, für die sich der Teilnehmer anmelden kann, indem
er die eingeblendete Schaltfläche „Order by payment“ anklickt. Anschließend öffnet sich
automatisch eine Seite (nachfolgend „Bestell-Seite“), auf der der Teilnehmer abgefragte
Informationsfelder zu seiner Person aber auch zur Zahlungsweise auszufüllen hat. Das
ausgewählte Kursangebot und dessen wesentlichen Leistungsinhalte werden erneut angezeigt.
Der Teilnehmer hat diesen Allgemeinen Geschäftsbedingungen zuzustimmen. Weiterhin hat er zu
bestätigen, dass er die Widerrufsbelehrung und den Hinweis zum Datenschutz zur Kenntnis
genommen hat. Mit dem Anklicken des Feldes „Order by payment“ – als finalen Akt – gibt der
Teilnehmer ein verbindliches Vertragsangebot gegenüber futur/io ab. Durch die elektronische
Zuleitung per E-Mail einer Bestätigung und damit verbundenen Annahme des
Vertragsangebotes seitens futur/io kommt der Vertrag zwischen dem Teilnehmer und futur/io
rechtsverbindlich zustande und der Teilnehmer ist darüberhinaus automatisch in der futur/io
Community registriert.
Vor Abgabe der Bestellung kann der Teilnehmer auf dieser Bestell-Seite jederzeit seine
eingegebenen Personendaten und sonstigen Bestelldaten überprüfen und Änderungen
vornehmen, da diese als Bestellübersicht angezeigt werden. Vor Abgabe der Bestellung kann er
auch die Seite jederzeit verlassen und damit den Bestellvorgang bzw. die Abgabe eines
Vertragsangebotes abbrechen.
2.4 Vertragsabschlüsse sind auch unabhängig von der Internetseite möglich. Etwaige Anfragen des
Teilnehmers in Textform (z.B. per E-Mail) zur Erstellung eines Angebotes sind für diesen
unverbindlich. futur/io unterbreitet dem Teilnehmer auf Basis seiner Anfrage ein verbindliches
Angebot in Textform (z.B. per E-Mail), an welches futur/io für fünf (5) Tage (soweit im jeweiligen
Angebot keine andere Frist ausgewiesen ist) gebunden ist. Der Teilnehmer erhält alle relevanten
Vertragsdaten im Rahmen des verbindlichen Angebotes in Textform übersandt, (einschließlich
dieser AGB, der Widerrufsbelehrung und der Muster-Widerrufserklärung), welche er ausdrucken
oder elektronisch sichern kann.
2.5 Vertragssprache ist entweder Deutsch oder Englisch, je nach der durch den Teilnehmer im
Rahmen seines Bestellvorganges bzw. Vertragsangebotes ausgewählten Sprachfassung der
Registrierungs-Seite.
2.6 Der vollständige Vertragstext wird von futur/io nicht gespeichert. Vor Absendung der
Bestellung und der damit verbundenen Abgabe eines Vertragsangebotes gemäß 2.3 können die

Vertragsdaten (einschließlich dieser AGB, der Widerrufsbelehrung und der Muster-
Widerrufserklärung) vom Teilnehmer über die Druckfunktion des Browsers ausgedruckt oder

über die Speicherfunktion des Browsers auf einem vom Teilnehmer selbst gewählten Speicher
außerhalb der Internetseite elektronisch gesichert werden.
2.7 Nach Zugang der Bestellung und des damit verbundenen Vertragsangebotes bei futur/io und
dessen Annahme durch futur/io werden alle relevante Vertragsdaten (einschließlich dieser AGB,
der Widerrufsbelehrung und der Muster-Widerrufserklärung), die gesetzlich vorgeschriebenen
Informationen bei Fernabsatzverträgen und die für den einzelnen Vertrag geltenden besondere
Geschäftsbedingungen bzw. spezifischen Vertragsbestimmungen nochmals per E-Mail an den
Teilnehmer übersandt.
2.8 Die Teilnahme an dem bestellten Offline-Kurs bzw. die Freischaltung des bestellten Online-Kurses

steht unter der (aufschiebenden) Bedingung der vollständigen Zahlung des jeweiligen Kurs-
Preises. Live-Kurse sind gegenüber dem Teilnehmer zum angegebenen Termin zu erbringen.

Aufgezeichnete Online-Kurse sind innerhalb von 14 Kalendertagen nach vollständiger Zahlung
und, im Falle eines Verbrauchers, nach Ablauf der Widerrufsfrist zu liefern. Bei Online-Kursen
erfolgt die Leistungserbringung durch Freischaltung des Teilnehmers auf der Registrierungsseite.

3. Mitwirkungspflichten des Teilnehmers, E-Mail-Adresse
3.1 Der Teilnehmer ist verpflichtet, futur/io sämtliche Informationen und Unterlagen, die für die
Durchführung des Kurses von Bedeutung sind, rechtzeitig zur Verfügung zu stellen.
Zur ordnungsgemäßen Abwicklung des Geschäftsverkehrs ist es insbesondere erforderlich, dass
der Teilnehmer futur/io Änderungen seines Namens, seiner E-Mail-Adresse und seiner sonstigen
Kontaktdaten unverzüglich mitteilt bzw. diese im Login Bereich selbständig ändert .
3.2 Der Teilnehmer hat Bescheinigungen und sonstige Mitteilungen von futur/io auf ihre Richtigkeit
und Vollständigkeit unverzüglich zu überprüfen und etwaige Einwendungen unverzüglich zu
erheben.
3.3 Die Abwicklung der Bestellung und Übermittlung aller im Zusammenhang mit dem
Vertragsschluss erforderlichen Informationen erfolgt per E-Mail – zum Teil automatisiert. Auch
werden z. B. Terminpläne, Änderungen, Kurshinweise, sonstige wichtige Informationen und
Teilnahme-Bescheinigungen in der Regel per E-Mail versendet. Es ist daher zur ordnungsgemäßen
und zeitnahen Abwicklung aller mit dem jeweiligen Kurs zusammenhängenden Formalitäten
zwingend erforderlich, dass der Teilnehmer futur/io eine zutreffende E- Mail-Adresse angibt,
diese regelmäßig überprüft und den Empfang der E-Mails technisch sichergestellt, insbesondere
nicht durch SPAM-Filter verhindert wird.

3.4 Die E-Mail-Kommunikation kann unverschlüsselt erfolgen. Der Teilnehmer hat Sorge zu tragen,
dass die E-Mail-Adresse vor dem Zugriff durch unbefugte Dritte geschützt ist.
4. Nutzungslizenz bzgl. der Inhalte eines Kurses
4.1 Die von futur/io angebotenen Kursinhalte sind soweit rechtlich möglich urheberrechtlich
geschützt. Der Teilnehmer erhält die in 4.2 beschriebene Nutzungslizenz eingeräumt, soweit nicht
in der jeweiligen Kurs-Beschreibung Anderes geregelt ist.
4.2 Der Teilnehmer erhält Zugriff auf die Kursinhalte nur zu seiner persönlichen, nicht-übertragbaren,
nicht-unterlizenzierbaren, nicht-ausschließlichen, nicht-kommerziellen Nutzung, sowie nur in

dem Rahmen, der durch die technische Funktionalität des etwaig verwendeten Technologie-
Anbieters, insbesondere des Streaming-Anbieters, vorgegeben und erlaubt ist.

4.3 Streaming für Zwecke dieses Vertrages bedeutet die digitale Übertragung der Inhalte über das
Internet auf ein nutzerbetriebenes internetfähiges Endgerät in einer Weise, bei der die Daten für
eine Echtzeitansicht bestimmt sind, nicht aber für einen (permanenten oder vorübergehenden)
Download, ein Kopieren, ein Speichern oder einen Weitervertrieb durch den Nutzer.
5. Kursmaterial
5.1 Das dem Teilnehmer von futur/io etwaig zur Verfügung gestellte Kursmaterial hat
unterstützenden Charakter. Es entbindet den Teilnehmer in keinem Fall von der Verpflichtung
eigenen Literaturstudiums, der Anwesenheit bei Präsenzveranstaltungen und der Verfolgung
aktueller Entwicklungen im Themenfeld. Insbesondere kann das Kursmaterial mögliche Inhalte
eines Kurses nicht komplett abbilden.
5.2 futur/io behält sich vor, das etwaig zur Verfügung gestellte Kursmaterial zu ändern oder zu
ersetzen, insbesondere es regelmäßig zu aktualisieren.
5.3 Das dem Teilnehmer seitens futur/io elektronisch oder gedruckt zur Verfügung gestellte

Kursmaterial ist ausschließlich zu seiner persönlichen, nicht-übertragbaren, nicht-
unterlizenzierbaren, nicht-ausschließlichen, nicht-kommerziellen Fort- und Weiterbildung

bestimmt.
5.4 Alle Rechte an diesem Kursmaterial liegen, sofern nicht gesondert vereinbart oder gekennzeichnet,
bei futur/io.

5.5 Der Teilnehmer verpflichtet sich, die von futur/io angebotenen Kursinhalte und das etwaig von
futur/io zur Verfügung gestellte Kursmaterial nicht Dritten zu überlassen oder in sonstiger Weise
zu verbreiten und die Urheberrechte von futur/io nicht zu verletzen. Vervielfältigungen sind nur
zum Zwecke des eigenen Studiums zulässig.
6. Kursinhalte, -Termine und -Orte, Anpassungen, Mindest-Teilnehmer, Absagen, Weisungsrecht
6.1 futur/io bestimmt die Kursinhalte und Kursmaterialien, die Dozenten sowie die Abläufe, Orte,
Termine und/oder Darstellungsformen (online oder offline) der Kurse nach billigem Ermessen,
soweit dazu nicht in der einschlägigen Kurs-Beschreibung explizite Aussagen getroffen sind.
6.2 Die Angabe von Kurs-Terminen bedeutet, dass grundsätzlich die betroffenen Kurse zu diesen
Terminen stattfinden. Die Angabe von Kurs-Orten bedeutet, dass grundsätzlich die betroffenen
Kurse an diesen Orten als Präsenzveranstaltungen stattfinden.
6.3 futur/io ist berechtigt, die Kurse aufgrund behördlicher, gesundheitlicher, dozentischer,
räumlicher oder vergleichbarer Notwendigkeiten, die futur/io nicht selbst zu vertreten hat,
insbesondere in Fällen Höherer Gewalt (siehe 7.3), in zeitlicher, inhaltlicher und/oder örtlicher
Hinsicht ganz oder teilweise nach billigem Ermessen zu verändern bzw. anzupassen.
Ersatztermine finden bis spätestens sechs (6) Wochen nach Wegfall des Hindernisses statt.
Ursprünglich als Live-Offline-Veranstaltung geplante Kurse können in diesen Fällen auch teilweise
oder vollständig als Online-Veranstaltungen stattfinden. futur/io wird derartige
Ermessensentscheidungen unverzüglich gegenüber dem Teilnehmer gemäß 3.1 kommunizieren.
Ereignisse gemäß Satz 1 stellen keinen Kündigungsgrund dar, es sei denn, es ist explizit
Abweichendes geregelt. Der Teilnehmer hat keinen Anspruch auf Ersatz der ihm hieraus
entstehenden Mehrkosten.
6.4 Soweit die Durchführung eines Kurses von der Teilnehmerzahl abhängig ist, ergibt sich die
Mindest-Teilnehmerzahl aus der jeweiligen Kurs-Beschreibung. Wird die Mindest-Teilnehmerzahl
nicht erreicht, informiert futur/io den Teilnehmer bei Live-Offline-Veranstaltungen spätestens
fünf (5) Werktage vor Beginn, bei Live-Online-Veranstaltungen spätestens zwei (2) Werktage vor
Beginn in Textform (z.B. per E-Mail) über das Nichtstattfinden des gebuchten Kurses. futur/io hat
in diesem Falle das Recht einen Ersatztermin innerhalb von sechs (6) Wochen nach dem
abgesagten Termin festzusetzen. Ereignisse gemäß Satz 1 stellen keinen Kündigungsgrund dar, es
sei denn, es ist explizit Abweichendes geregelt. Weitergehende Ersatzansprüche bestehen bei
Einhaltung der vorstehenden Fristen nicht.

6.5 Bei Absage eines Kurses, der aus einem einzigen Termin besteht, wegen eines Grundes, den
futur/io zu vertreten hat, werden die bereits geleisteten Vergütungen innerhalb von 30
Kalendertagen zurückerstattet. Bei Kursen, die aus mehreren Terminen bestehen, erfolgt bei
Absage eines einzelnen Termins wegen eines Grundes, den futur/io zu vertreten hat, die
Nachholung des abgesagten Termins an einem Ersatztermin bis spätestens sechs (6) Wochen nach
dem ursprünglichen Termin, ansonsten werden die bereits geleisteten Vergütungen unverzüglich
zurückerstattet.
6.6 Der von futur/io benannte Kurs-Leiter hat gegenüber dem Teilnehmer das Haus- und das
Weisungsrecht im Rahmen des jeweiligen Kurses.
7. Haftung, Haftungsbeschränkung, Höhere Gewalt, Mitverschulden
7.1 futur/io haftet unbeschadet der nachfolgenden Haftungsbeschränkungen uneingeschränkt für
Schäden an Leben, Körper und Gesundheit, die auf einer fahrlässigen oder vorsätzlichen
Pflichtverletzung ihrer gesetzlichen Vertreter oder Erfüllungsgehilfen von futur/io beruhen, sowie
für alle Sach- und Vermögensschäden, die auf vorsätzlichen oder grob fahrlässigen
Vertragsverletzungen sowie Arglist der gesetzlichen Vertreter oder ihrer Erfüllungsgehilfen von
futur/io beruhen.
7.2 futur/io haftet im Hinblick auf Sach- und Vermögensschäden nicht bei leichter Fahrlässigkeit der
gesetzlichen Vertreter und sonstigen Erfüllungsgehilfen von futur/io, außer wenn eine
wesentliche Vertragspflicht verletzt wurde, deren Erfüllung die ordnungsgemäße Durchführung
des Vertrages überhaupt erst ermöglicht, deren Verletzung die Erreichung des Zwecks des
Vertrages gefährdet und auf deren Einhaltung der Teilnehmer regelmäßig vertraut (im Folgenden
„Kardinalpflicht“). Die Haftung wegen Verletzung einer solchen Kardinalpflicht ist ihrerseits auf
den vertragstypischen, vorhersehbaren Schaden beschränkt. Dies gilt auch für entgangenen
Gewinn und ausgebliebene Einsparungen. Bei leicht fahrlässigen Verletzungen von Pflichten, die
keine Kardinalpflicht darstellen, haftet futur/io nicht.
7.3 futur/io haftet nicht für Schäden, die durch Aufruhr, Kriegs- und Naturereignisse, Epidemien
und Pandemien, durch Streik, Aussperrung, Verkehrsstörung, Verfügungen von hoher Hand im
In- oder Ausland oder durch sonstige von futur/io nicht zu vertretende Vorkommnisse
(nachfolgend zusammenfassend „Höhere Gewalt“) eintreten. Im Falle einer Nicht-Leistung
zum angegebenen Kurs-Termin bzw. am angegebenen Kurs-Ort wegen Höherer Gewalt wird
futur/io von der Leistungspflicht frei.

7.4 Hat der Teilnehmer durch eigenes schuldhaftes Verhalten zu der Entstehung eines Schadens
beigetragen, bestimmt sich nach den zivil-rechtlichen Grundsätzen des Mitverschuldens, in
welchem Umfang futur/io und der Teilnehmer den Schaden zu tragen haben.
7.5 Eine weitergehende Haftung von futur/io ist ausgeschlossen. Soweit die Haftung in diesem
Abschnitt 7. ausgeschlossen oder beschränkt ist, gilt dies auch für die persönliche Haftung der
gesetzlichen Vertreter und sonstigen Erfüllungsgehilfen von futur/io.
8. Erfüllung der Leistungspflicht, Laufzeit des Vertrages, Kündigung
8.1 Ein Vertrag über die Lieferung eines aufgezeichneten Online-Kurses ist durch den Teilnehmer bis
zum Online-Abruf des Kurses jederzeit ordentlich kündbar. Mit dem Online-Abruf des
aufgezeichneten Online-Kurses besteht seitens des Teilnehmers kein ordentliches
Kündigungsrecht mehr. Mit dem Online-Abruf während einer noch laufenden Widerrufsfrist
entfällt auch das entsprechende Widerrufsrecht.
8.2 Ein Vertrag über einen Live-Offline-Kurs bzw. einen Live-Online-Kurs ist durch den Teilnehmer bis
zehn (10) Werktage vor dem festgelegten Termin jederzeit ordentlich kündbar. Mit der
Erbringung des jeweils bestellten Kurses durch futur/io besteht seitens des Teilnehmers kein
ordentliches Kündigungsrecht mehr. Mit der vollständigen Erbringung des jeweils bestellten
Kurses während einer noch laufenden Widerrufsfrist entfällt auch das entsprechende
Widerrufsrecht.
8.3 Das Recht des Teilnehmers zur außerordentlichen Kündigung des Vertrages aus wichtigem Grund
bleibt unberührt.
8.4 futur/io ist zur außerordentlichen Kündigung des Vertrages ebenfalls berechtigt, insbesondere
wenn das Verhalten des Teilnehmers den ordnungsgemäßen Unterricht oder sonstigen Ablauf des
Kurses oder die vertrauensvolle Zusammenarbeit mit Studienkollegen, Dozenten oder sonstigen
freien oder angestellten Mitarbeitern von futur/io trotz schriftlicher Fristsetzung bzw.
Abmahnung erheblich stört.
8.5 Die Kündigung muss in Textform (z.B. per E-Mail) erfolgen. Auf Wunsch des Teilnehmers wird der
Eingang der Kündigung von futur/io bestätigt.
9. Preise und Zahlungsmodalitäten

9.1 Die angeführten Preise stellen Gesamtpreise für den jeweiligen Kurs dar. Sie beinhalten alle
Preisbestandteile, insbesondere die Netto-Preise abzüglich etwaiger Rabatte und zuzüglich

etwaiger gesetzlicher Umsatzsteuer. Etwaiges Kursmaterial ist Preisbestandteil. Im Falle von Live-
Offline-Kursen sind die Kosten der Unterbringung und Basis-Verpflegung (ohne alkoholische

Getränke) beinhaltet. Die Preise beinhalten jedoch nicht etwaige Reisekosten, Kosten der
Zusatzverpflegung (inkl. alkoholische Getränke) oder sonstige eigene Kosten des Teilnehmers.
9.2 Kosten des Zahlungsweges (Überweisungs- oder Wechselkursgebühren der Kreditinstitute) sind
vom Teilnehmer zu tragen, wenn die Zahlung außerhalb der Europäischen Union veranlasst
wurde. Innerhalb der Europäischen Union werden Kosten des Zahlungsweges nicht berechnet.
9.3 Der Teilnehmer hat folgende Zahlungsmöglichkeiten, soweit im jeweiligen Vertrag nichts Anderes

9.4 Der jeweils vereinbarte Gesamtpreis ist sofort zur Zahlung fällig. Die Teilnahme an dem jeweiligen
Live-Kurs (Offline oder Online) bzw. die Freischaltung des aufgezeichneten Online-Kurses steht
unter der (aufschiebenden) Bedingung der vollständigen Zahlung der jeweiligen Vergütung (s.a.
Ziffer 2.8).
9.5 Die Zahlungsverpflichtung des Teilnehmers wird nicht dadurch berührt, dass dieser an dem Kurs
ganz oder teilweise nicht teilnimmt, es sei denn, futur/io hat die Nichtteilnahme durch
vertragswidriges Verhalten veranlasst.
10. AGB-Änderungen
10.1 Vorschläge zur Änderung dieser Allgemeinen Geschäftsbedingungen werden dem Teilnehmer
durch futur/io in Textform (z.B. per E-Mail) bekannt gegeben.
10.2 Änderungen dieser Allgemeinen Geschäftsbedingungen gelten als genehmigt, wenn der
Teilnehmer diesen Änderungen in Textform zustimmt.
10.3 Hat der Teilnehmer den vorgeschlagenen Änderungen nicht innerhalb von 14 Kalender-Tagen
zugestimmt oder diesen widersprochen, so hat futur/io ein außerordentliches Kündigungsrecht
des Vertrages.

13.1 Handelt es sich bei dem Teilnehmer um einen Unternehmer, ist Gerichtsstand für alle
Streitigkeiten aus diesem Vertragsverhältnis Hamburg als Geschäftssitz von futur/io.
13.2 Es gilt 13.1 entsprechend, wenn der Teilnehmer zwar Verbraucher ist, jedoch keinen Wohnsitz
oder gewöhnlichen Aufenthalt innerhalb der Europäischen Union hat oder dessen Wohnsitz oder
gewöhnlicher Aufenthalt im Zeitpunkt der Klageerhebung nicht bekannt ist.
13.3 Die Befugnis, auch das Gericht eines anderen gesetzlichen Gerichtsstandes anzurufen, bleibt
hiervon unberührt.

3. Collection of general data and information

The website of the Futur/io Institute UG (haftungsbeschränkt) collects a series of general data and information when a data subject or automated system calls up the website. This general data and information are stored in the server log files. Collected may be (1) the browser types and versions used, (2) the operating system used by the accessing system, (3) the website from which an accessing system reaches our website (so-called referrers), (4) the sub-websites, (5) the date and time of access to the Internet site, (6) an Internet protocol address (IP address), (7) the Internet service provider of the accessing system, and (8) any other similar data and information that may be used in the event of attacks on our information technology systems.

5. Newsletter-Tracking

The newsletter of the Futur/io Institute UG (haftungsbeschränkt) contains so-called tracking pixels. A tracking pixel is a miniature graphic embedded in such e-mails, which are sent in HTML format to enable log file recording and analysis. This allows a statistical analysis of the success or failure of online marketing campaigns. Based on the embedded tracking pixel, the Futur/io Institute UG (haftungsbeschränkt) may see if and when an e-mail was opened by a data subject, and which links in the e-mail were called up by data subjects.

Such personal data collected in the tracking pixels contained in the newsletters are stored and analyzed by the controller in order to optimize the shipping of the newsletter, as well as to adapt the content of future newsletters even better to the interests of the data subject. These personal data will not be passed on to third parties. Data subjects are at any time entitled to revoke the respective separate declaration of consent issued by means of the double-opt-in procedure. After a revocation, these personal data will be deleted by the controller. 6. Contact possibility via the website

The website of the Futur/io Institute UG (haftungsbeschränkt) contains information that enables a quick electronic contact to our enterprise, as well as direct communication with us, which also includes a general address of the so-called electronic mail (e-mail address). If a data subject contacts the controller by e-mail or via a contact form, the personal data transmitted by the data subject are automatically stored. Such personal data transmitted on a voluntary basis by a data subject to the data controller are stored for the purpose of processing or contacting the data subject. There is no transfer of this personal data to third parties.

7. Routine erasure and blocking of personal data

The data controller shall process and store the personal data of the data subject only for the period necessary to achieve the purpose of storage, or as far as this is granted by the European legislator or other legislators in laws or regulations to which the controller is subject to.

The data subject objects to the processing pursuant to Article 21(1) of the GDPR and there are no overriding legitimate grounds for the processing, or the data subject objects to the processing pursuant to Article 21(2) of the GDPR.

The personal data have been unlawfully processed.

The personal data must be erased for compliance with a legal obligation in Union or Member State law to which the controller is subject.

The personal data have been collected in relation to the offer of information society services referred to in Article 8(1) of the GDPR.

If one of the aforementioned reasons applies, and a data subject wishes to request the erasure of personal data stored by the Futur/io Institute UG (haftungsbeschränkt), he or she may, at any time, contact any employee of the controller. An employee of Futur/io Institute UG (haftungsbeschränkt) shall promptly ensure that the erasure request is complied with immediately.

Where the controller has made personal data public and is obliged pursuant to Article 17(1) to erase the personal data, the controller, taking account of available technology and the cost of implementation, shall take reasonable steps, including technical measures, to inform other controllers processing the personal data that the data subject has requested erasure by such controllers of any links to, or copy or replication of, those personal data, as far as processing is not required. An employees of the Futur/io Institute UG (haftungsbeschränkt) will arrange the necessary measures in individual cases.

e) Right of restriction of processing

Each data subject shall have the right granted by the European legislator to obtain from the controller restriction of processing where one of the following applies:

The accuracy of the personal data is contested by the data subject, for a period enabling the controller to verify the accuracy of the personal data.

The processing is unlawful and the data subject opposes the erasure of the personal data and requests instead the restriction of their use instead.

The controller no longer needs the personal data for the purposes of the processing, but they are required by the data subject for the establishment, exercise or defence of legal claims.

Furthermore, in exercising his or her right to data portability pursuant to Article 20(1) of the GDPR, the data subject shall have the right to have personal data transmitted directly from one controller to another, where technically feasible and when doing so does not adversely affect the rights and freedoms of others.

In order to assert the right to data portability, the data subject may at any time contact any employee of the Futur/io Institute UG (haftungsbeschränkt).

g) Right to object

Each data subject shall have the right granted by the European legislator to object, on grounds relating to his or her particular situation, at any time, to processing of personal data concerning him or her, which is based on point (e) or (f) of Article 6(1) of the GDPR. The Futur/io Institute UG (haftungsbeschränkt) shall no longer process the personal data in the event of the objection, unless we can demonstrate compelling legitimate grounds for the processing which override the interests, rights and freedoms of the data subject, or for the establishment, exercise or defence of legal claims.

If the Futur/io Institute UG (haftungsbeschränkt) processes personal data for direct marketing purposes, the data subject shall have the right to object at any time to processing of personal data concerning him or her for such marketing. This applies to profiling to the extent that it is related to such direct marketing. b)      HubSpot will forward the written notification to such alleged infringer (the “Alleged Infringer”);

c)       HubSpot will take reasonable steps to promptly notify the Alleged Infringer that it has removed or disabled access to the material.

Counter Notification:

An Alleged Infringer may submit a Counter Notification to contest the claim of alleged infringement. To be effective, a Counter Notification must be a written communication provided to HubSpot’s Copyright Agent that includes substantially the following:

a)      A physical or electronic signature of the Alleged Infringer;

b)      Identification of the material that has been removed or to which access has been disabled  and the location at which the material appeared before it was removed or access to it was disabled;

c)       A statement under penalty of perjury that the Alleged Infringer has a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled;

Receipt of Counter Notification:

a)      HubSpot will promptly provide the Complaining Party with a copy of the Counter Notification;

b)      HubSpot will inform the Complaining Party that it will replace the removed material or cease disabling access to it within ten (10) business days;

c)       HubSpot will replace the removed material or cease disabling access to the material within ten (10) to fourteen (14) business days following receipt of the Counter Notification, provided HubSpot’s Copyright Agent has not received notice from the Complaining Party that an action has been filed seeking a court order to restrain Alleged Infringer from engaging in infringing activity relating to the material on HubSpot’s network or system.

14. Legal basis for the processing

Art. 6(1) lit. a GDPR serves as the legal basis for processing operations for which we obtain consent for a specific processing purpose. If the processing of personal data is necessary for the performance of a contract to which the data subject is party, as is the case, for example, when processing operations are necessary for the supply of goods or to provide any other service, the processing is based on Article 6(1) lit. b GDPR. The same applies to such processing operations which are necessary for carrying out pre-contractual measures, for example in the case of inquiries concerning our products or services. Is our company subject to a legal obligation by which processing of personal data is required, such as for the fulfillment of tax obligations, the processing is based on Art. 6(1) lit. c GDPR.

In rare cases, the processing of personal data may be necessary to protect the vital interests of the data subject or of another natural person. This would be the case, for example, if a visitor were injured in our company and his name, age, health insurance data or other vital information would have to be passed on to a doctor, hospital or other third party.
